As an alternative to traditional mechanisms of risk management (e.g., escrows, holdbacks, indemnities), R&amp;W insurance addresses both buyer and seller concerns.<\/p>\n<p>Benefits to the parties include:<\/p>\n<ul>\n<li>Buyers:\n<ul>\n<li>Indemnification for breaches of representations and warranties given by the seller;<\/li>\n<li>Additional means of protection against indemnity collection concerns with respect to the financial solvency of the seller;<\/li>\n<li>Protection of key relationships;<\/li>\n<li>A mechanism to address potential conflicts with seller-side management who will remain employed by the target following the transaction; and<\/li>\n<li>Strategic positioning opportunities to distinguish one\u2019s bid from competitors<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ul>\n<li>Sellers:\n<ul>\n<li>Protection from post-transaction claims for indemnification arising from unknown risks or contingent liabilities;<\/li>\n<li>Ability to reduce the reliance on retaining funds in escrow;<\/li>\n<li>Ready opportunities to distribute sale proceeds to investors or towards existing debt; and<\/li>\n<li>A means of expediting the transaction so as to potentially realize an increased return<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p>In addition to party protections, R&amp;W insurance can be a useful and flexible negotiating tool. It can be purchased with respect to all, some, or even one representation and warranty, and may be used with other M&amp;A insurance tools such as tax opinion indemnity insurance and litigation containment insurance to facilitate transactions.<\/p>\n<p>R&amp;W insurance can\u2019t be a substitute for proper processes of disclosure by the seller or due diligence by the buyer, but it may be able to make or break the success of an M&amp;A deal, particularly in light of the ongoing challenges in the current economic climate.
